ER Group Management office is seeking a driven and detail-oriented Assistant Company Secretary to join our Secretarial Services team. Reporting to the Head of Group Secretarial Services, you will play a key role in ensuring that ER Group, its subsidiaries and associated companies comply with all statutory and regulatory obligation, including the Companies Act, Securities Act, Listing/DEM rules, and FSC requirements.

Board & Committee Meetings
• Arrange, prepare and support Board, Committee and Shareholder meetings, including compiling and circulating board packs, agendas and minutes.
• Advise the Board and Committees on the conduct of their meetings and keep them informed of relevant legislation.
• Take minutes accurately and provide members with documents or information upon request.
Statutory & Legal Compliance
• Attend to statutory filings and ensure decisions of the Board of Directors are implemented.
• Maintain and update records and data on company software.
• Provide the Board and Committees with guidance on their duties, responsibilities and powers.
• Assist in the preparation of Annual Reports.
• Engage with internal stakeholders to ensure compliance with governance processes.
Record Keeping & Documentation
• Ensure minutes of all meetings are properly recorded and maintained.
• Maintain statutory registers and records in full compliance with applicable laws, ensuring authorised access and data integrity.
Company Secretarial Support
• Assist with day-to-day company secretarial matters for ER Group and client companies.
• Support various corporate projects and ad-hoc governance initiatives.
AML-CFT
• Maintain awareness of and adhere to the company's AML-CFT Policy Manual and relevant procedures in line with your function.
• Part ICSA/CGI qualification or equivalent (progress towards full qualification is an advantage).
• Minimum 5 years of experience in corporate secretarial services.
• Sound knowledge of the Companies Act, Securities Act, and relevant regulatory frameworks.
• Strong attention to detail and ability to manage multiple priorities.
• Excellent written and verbal communication skills.
• A collaborative team player who can also work independently and exercise sound judgement.
